The words and phrases listed below, as used in this Contract, shall each have the following definitions: Captioning: The process of converting the narration, dialogue, music and sound effects of a video production into text that is displayed on a television screen. The captions are typically white upper-case letters against a black background. Open Captions: Captions that are visible without using a set-top decoder or a TV with a built-in decoder. When a video is open-captioned, the captions are permanently part of the picture. Post production captioning -Captioning services for events that have already taken place are available for a wide variety of media players including QuickTime, Windows Media, RealPlayer, YouTube media and PowerPoint. Subtitles: Permanent on-screen text that represents the narration and dialogue of a program. Subtitles are created with a character generator; no decoding capability is required for viewing them. Subtitles are usually in upper- and lower-case letters and do not appear in a black background. Also, subtitles are typically placed at the bottom center of the screen. Reformat: The process of revising previously captioned programs for rebroadcast, requiring the retiming and/or editing of caption text to synchronize it to the edited video and audio. Cisco Webex An application sharing and conferencing service that is widely used for presentations, demos, training and support from WebEx Communications, Inc. Everything the presenters see and manipulate on their computers can be viewed by everyone in the conference. Statement of Work. The Contractor shall provide the services, staff, and otherwise do all things necessary for or incidental to the performance of work, as set forth below. Contractor will meet all customer software needs and requirements. Post Production Captioning Provide captioning services for events that have already taken place (post-production captioning) for a variety of media players including QuickTime, Windows Media, RealPlayer, YouTube media and PowerPoint. Provide captioning services for DVDs/CDs. REAL Time Captioning The Contractor shall have the ability to create scripts upon customer request, and conduct real time webinar captioning. Customer will provide specific webinar dates to the Contractor at least five (5) business days before the scheduled webinar date. The contractor and customer will consult before scheduled webinars to clarify or resolve any software, browser or other IT related issues, including webinar participant instructions. The customer will provide a copy of the presentation to the Contractor at least three business (3) days prior to the webinar. The webinars may consist of live question and answer sessions and interaction with attendees; therefore not all information will be provided to the Contractor in advance of the presentation. The Contractor shall complete the following for captioning services. Include and convert to captioning all oral dialogue occurring during the webinar presentation. Achieve 99% live captioning accuracy. The Contractor will consult with the customer to verify and confirm technical language and/or definitions when appropriate. (3) Deliver a time stamped electronic file (in Word 2007 or more recent version) of the captioned transcript and an auto timed .sbv file capable of seamless integration into YouTube videos to customer within three (3) business days after the webinar is complete. The Contractor shall provide the following captioning support services: A. Technical support personnel, B. Viewer support, C. System support, and D. Connectivity support during the entire webinar event. E. As requested, the Contractor shall provide captioning for prerecorded GoTo webinars. The Contractor must return captioned prerecorded files within three (3) business days of receipt. Performance Measures: Customer shall measure successful performance as follows: Customer will check accuracy on live and recorded webinars to verify if the Contractor has a 99% accurate on live captioning and 100% accurate on post-webinar captioning. Customer will communicate their verification results to the Contractor within five (5) business days of receipt of completed captioning files. For real time, if accuracy is below the required percent, customer will give the Contractor three (3) business days to correct any errors. If there are still captioning errors after the correction period, customer will take a 25% reduction on the invoice for that webinar or prerecorded captioning. Billing and Payment. Invoice System. The Contractor shall submit invoices using State Form A-19 Invoice Voucher, or such other form as designated by customer. The Contractor shall provide a detailed invoice which identifies all services billed to customer and use the rates Identified on the face page of this Amendment (and subsequently incorporated into the Contract). Consideration for services rendered shall be payable upon receipt of properly completed invoices which shall be submitted to the customer by the Contractor not more often than monthly. The invoices shall describe and document to customers satisfaction a description of the work performed, activities accomplished, the progress of the project, and fees. The rates shall be in accordance with those set forth in this Contract. Payment. Payment shall be considered timely if made by customer within thirty (30) days after receipt and acceptance by customer of the properly completed invoices. Payment shall be sent to the address designated by the Contractor.
