Hosting Policy PAGEREF _Toc455747907 \h 51General InformationIntroductionThe “Delaware State Innovation Models (SIM): Funding for Model Design Project Narrative” details Delaware’s vision to “transform our health care system to improve access and ensure quality while simultaneously reducing costs.” Through this process, the State “proposes development of a comprehensive State Health Care Innovation Plan that, when implemented, will result in broad-based health system transformation with new payment and integrated, community-led service delivery models, improved health and health care for Delawareans, and reduced health care costs.” The Health Care Delivery System Transformation work stream aligns the payment reform work with the development of new models for system delivery. “Because a successful service delivery model depends on effective communication between patient and provider, consumer and provider perspectives will be key elements of this work stream,”Consumer engagement is clearly outlined in the companion December 2013 State Health Care Innovation plan, “Choose Health Delaware, Delaware’s State Health Care Innovation Plan”. It highlights Delaware’s initiatives for consumer engagement tools. One such tool, a patient portal, will provide patients with access to their clinical data, provide them with the capability to evaluate and select the providers that will best meet their individual needs., connect them with providers, and engage them more purposefully and take greater accountability in managing their own health. In addition, it will enable Eligible Hospitals (EH) and Eligible Professionals (EPs) to meet all Meaningful Use (MU) 2015 Edition (and later) patient engagement measures, and produce numerator reports for EH and EP attestation.The purpose of this Personal Health Record RFP initiative is to select and implement the consumer engagement functionality through the use of a patient portal tool for Delaware citizens. Under this initiative, the Delaware Health Information Network (DHIN) will accept proposals from qualified organizations interested in providing professional services for the implementation of a patient portal or a personal health record (PHR) solution that can be populated from both the Hospital’s/Practice’s patient portal or through a DHIN-sponsored patient portal. Goals and ObjectivesThe selected solution must address four business use cases for Delaware hospitals, providers, and consumers:Integrated/Embedded Model - Hospital/Practice currently has a patient portal and this solution will provide the backend connectivity from the DHIN Community Health Record to provide a longitudinal-record of the patient’s health care consolidated in one location.Co-Branded Model - Practice currently has a patient portal and the DHIN will provide the capability for multi-tenant co-branding for that practice.DHIN-Branded Model - Practice currently does not have a patient portal and does not intend to implement a patient portal. The DHIN will offer a DHIN-branded patient portal capability for consumers without any other portal options.Untethered Patient Portal Model – Patient currently has a patient portal (e.g., HealthVault, Apple HealthKit) and the DHIN will provide the backend connectivity from the DHIN Community Health Record to provide a longitudinal-record of the patient’s health care into the Patient’s Personal Health Record portal.In addition, the selected solution must:Ensure the security and privacy of all patient records.Provide the capability for patients to view and download their patient data, manage access to their health records, see who has accessed their patient records, and communicate with their providers.Provide the required reporting metrics back to the EH or EP for attestation of MU requirements.Be ONC certified.BackgroundDHIN History and OrganizationLegislative HistoryThe Delaware Health Information Network (DHIN) is a statutory (16 Del. C. Ch. 103) not-for-profit instrumentality of the State of Delaware with the rights, obligations, privileges and purpose to promote the design, implementation, operation and maintenance of facilities for public and private use of health care information in the State. DHIN’s statutory mission is to develop and operate a state-wide health information network integrating clinical, financial, and patient satisfaction data sources to inform decisions (16 Del. C. § 10303). The DHIN is intended by law to be a public-private partnership for the benefit of all citizens of Delaware.DHIN was statutorily established in 1997, under the direction of the Delaware Health Care Commission. The State committed to partner in capitalizing DHIN over a five year period, with the stated expectation that DHIN would be financially self-sustaining by the end of that time. The enabling statue was amended in 2010, and effective January 1, 2011, DHIN became a semi-autonomous not-for-profit public instrumentality of the state of Delaware. The State is now a customer of DHIN’s services, paying on the same footing as other customers of the same or similar services. Fiscal year 2012 was the last year DHIN received any funds through the Capital Bond Bill.History of Services OfferedTwo core services have made DHIN a ubiquitous and indispensable component of the Delaware healthcare ecosystem.Clinical Results Delivery -- DHIN went live as the first state-wide operational health information exchange in May, 2007. The primary service offered in the first two years was electronic results delivery, with particular emphasis on delivery of lab results. Other supported data types include pathology results, radiology reports, transcribed reports, and admission face sheets (ADTs). The original “data senders” were Christiana Care Health System in New Castle County, Bayhealth (previously known as Kent General Hospital) in Kent County, Beebe Medical Center in Sussex County, and Lab Corp. DHIN delivers results and reports from data senders to the ordering and “copy-to” providers on behalf of the performing munity Health Record -- In 2009, the addition of more data senders (St Francis Hospital, Doctors Pathology Service, and Quest Diagnostics), and the addition of a record locater service, master person index, and a query portal enabled DHIN to offer a longitudinal Community Health Record (CHR). The CHR aggregates data about each patient across time, geography, and data sources and allows authorized users to query for results and reports they would otherwise not know about nor have access to without time-consuming requests for information from previous healthcare settings.These two core services, results delivery and the Community Health Record, have achieved near 100% adoption in Delaware through a self-reinforcing “virtuous cycle.” The more data that is available through the Community Health Record, the more valuable the CHR is to providers and the more of them enroll in DHIN. Conversely, the more end-users in DHIN demand that data of interest be available through the CHR, the more the labs, hospitals, and imaging centers find a business case for using DHIN as their results delivery channel.All Delaware acute care hospitals and commercial labs and over 95% of imaging centers now participate as “data senders.” Additionally, three Maryland hospitals near the Delaware-Maryland border also participate. The number of ambulatory providers currently enrolled in DHIN as end users of the Community Health Record actually exceeds the number of practicing providers in Delaware. Providers in contiguous states with an affiliation with one of DHIN’s member hospitals use DHIN as the preferred channel for results delivery and query.In addition to these core services, DHIN has introduced additional services over the years, as illustrated below.Fig 1.Summary of Requirements and Organization of the Request for Proposals (RFP)The RFP is organized into five major sections: 1. The General Information Section provides background on DHIN, goals, proposal conditions, format, and instructions for the RFP response. DHIN reserves the right to contract with the successful Offeror (or Offerors) for all or any portion of the proposed deliverables. If Offeror is unwilling to comply with RFP requirements, and/or terms-and-conditions, objections must be clearly stated in the proposal. DHIN reserves the right to withdraw this RFP, to reject any non-conforming proposals, to waive minor defects in the proposal, or allow the Offeror to correct such defect if the best interest of DHIN will be served by doing so. DHIN also reserves the right to accept a portion or portions of a proposal or reject any or all proposals.The DHIN reserves the right to negotiate with individual offerors after their proposals are opened. The DHIN has established a committee, procedures and schedules for conducting negotiations. The DHIN will not disclose any offeror’s pricing or proposal information to another.Document(s) ExecutionBoth the non-collusion statement that is enclosed with this Request for Proposal and the contract form delivered to the successful Offeror for signature shall be executed by a representative who has the legal capacity to enter the organization into a formal contract with the DHIN.Business Associate AgreementThe DHIN and the selected Contractor will enter into DHIN’s standard Business Associate Agreement (BAA) in order to adequately protect the Participants data. DHIN’s standard Business Associate Agreement will be provided as part of the contract.Contract PeriodThis is a three (3) year contract with the option for ongoing two-year contract renewals. Each Offeror’s contract shall be valid from September 30, 2016 FILLIN "Insert the date when the contract becomes effective" through September 30, 2019 FILLIN "Insert the date when the contract expires" .PricesPrices and/or rates shall remain firm for the term of the contract, unless further negotiations are deemed necessary by DHIN.The pricing policy must address the following concerns:The structure must be clear, accountable and auditable;It must cover the full spectrum of services required;Costs and compensation must be consistent with the rates established or negotiated as a result of this RFP issued based on this contract. Pricing The Contractor agrees to provide DHIN with Most Favored Customer Pricing for all Deliverables under this Agreement. Most Favored Customer Pricing shall mean that the Contractor represents and warrants that the price for the sale and license of each Deliverable shall be at least as favorable to DHIN as the purchase price provided to any other customer purchasing goods substantially similar to the Deliverables in similar quantities.CostsAll Costs (e.g., licensing, professional services, integration, hardware, software, etc.) must be detailed specifically in the Cost Proposal in Section 4. Offeror must fill out all appropriate cost pages. No charges other than as specified in the proposal shall be allowed without written consent of the DHIN. The proposal costs shall include full compensation for all taxes that the selected vendor is required to pay.Method of PaymentDHIN will pay the Contractor based upon the agreed upon fee schedule in Section 4 established in the contract. When non-federal funds are appropriated to pay the Contractor’s invoice, the Contractor shall receive payment within 30 days. When federal monies are appropriated for Contractor deliverables, the DHIN must invoice the federal government upon receipt of an invoice from the Contractor. As such, the DHIN will pay the Contractor’s invoice upon receipt of funding from the Federal government.Payment SchedulesThe DHIN will require a payment schedule based on a defined measurable milestone. Payments for services will not be made in advance of work performed. The DHIN may require holdback of contract monies until acceptable performance is demonstrated (as much as 25%).Formal ContractNo employee of the Contractor(s) is to begin any work prior to receipt of a Contract signed by authorized representatives of the DHIN. Offeror ResponsibilityDHIN will enter into a contract with the successful Contractor(s). The successful Contractor(s) shall be responsible for all products and services as required by this RFP. Subcontractors, if any, shall be clearly identified in the business proposal.Independent Contractor The successful Offeror will be considered an independent contractor to DHIN, and is not an employee, agent, joint venturer, or otherwise under the direction or control of DHIN. The contractor retains all control and direction over its employees, officers and agents in performing under this engagement, except that DHIN retains the right of direction, content and form of the final deliverables.PersonnelThe Contractor represents that he/she has, or will secure at his/her own expense, all personnel required to perform the services required under this contract.All of the services required hereunder shall be performed by the Contractor or under his/her direct supervision, and all personnel, including subcontractors, engaged in the work shall be fully qualified and shall be authorized under State and local law to perform such services.None of the work or services covered by this contract shall be subcontracted without the prior written approval of DHIN.DHIN’s Sole Property All information in any form or the analysis of such information that is obtained, collected, produced or compiled by the contractor shall be the sole and exclusive property of DHIN, and the contractor shall not release nor provide such information, analysis, conclusions or documents to another without express written consent of DHIN, and this provision will survive termination or completion of the engagement.ConfidentialityAll proposals become the property of DHIN and will not be returned to offerors. The DHIN, as a not-for-profit instrumentality of the State of Delaware, is required to comply with the State of Delaware Freedom of Information Act, 29 Del. C. § 10001, et seq. (“FOIA”). FOIA requires that the State of Delaware’s records are public records (unless otherwise declared by FOIA or other law to be exempt from disclosure) and are subject to inspection and copying by any person upon a written request. Specific attention should be given to the identification of those portions of the proposal, which are deemed to be confidential or proprietary information and which Offerors believe should not be disclosed under the Delaware Freedom Information of Act. Offerors are advised that upon request for this information from a third party, DHIN is required to make an independent determination as to whether the information may be or must be divulged to the party.The Offeror shall contact the DHIN within five (5) days of receipt of any electronic discovery, litigation holds, discovery searches, and expert testimonies related to, or which in any way might reasonably require access to the data of the DHIN. The Offeror shall not respond to subpoenas, service of process, and other legal requests related to the DHIN without first notifying the DHIN unless prohibited by law from providing such notice.Additional Terms and ConditionsThe DHIN reserves the right to add terms and conditions during contract negotiations.AssignmentThis contract shall not be assigned except by express written consent from the DHIN.Choice of Laws The form of this engagement will be a professional services contract interpreted under the laws of the State of Delaware. Any dispute arising out of, in connection with, or resulting to this bid, and any resulting contract, shall be brought exclusively in a court in the State of Delaware or the United States District Court of the District of Delaware, as pliance with Other Laws The successful Offeror will be required to warrant that it is in complete compliance with all provisions of applicable Federal, State, and local laws, acts, and regulations that outlaw discrimination based on age, race, color, religion, national origin, gender, handicap, and veteran status, etc. and must further warrant complete compliance with all provisions of Federal, State, and local laws, acts, and regulations regarding any required permits, licenses, registration, taxes, or fees.Indemnification The selected contractor will agree to indemnify and hold harmless DHIN and its officers, employees and agents from and against any and all losses, penalties, damages, settlements, costs, charges, professional fees or other expenses or liabilities of every kind and character resulting from contractor’s breach of any of its warranties or the error, omission or negligent act of the contractor, its agents, employees or representatives, in the performance of the contractor’s duties under any agreement resulting from award of this proposal. Insurance Required As a part of the contract requirements, the Contractor shall obtain at its own cost and expense and keep in force and effect during the term of this contract, including all extensions, the minimum coverage of: Automotive Liability Insurance covering all automotive units used in the work with limits of not less than $100,000 each person and $300,000 each accident as to bodily injury and $25,000 as to property damage to others.Forty-five (45) days written notice of cancellation or material change of any policies shall be required. Payment for Services Rendered DHIN will pay the contractor based upon the agreed upon Fee Schedule in Section 4 established in the contract. Itemized invoices accompanied by a progress and status report must be submitted to the DHIN CFO for payment authorization. DHIN’s obligation to pay under the terms of this agreement is contingent on the timely performance by the contractor of its obligations and duties. The contractor agrees that upon complete performance of this agreement, the maximum extent of DHIN’s obligation is the total contract consideration and waives any and all claims for interest, costs, any other sums or any other relief.Default Any failure of the contractor to perform any of its obligation or duties under this agreement in a timely fashion is a material breach of the contract that allows DHIN, at its sole option, to terminate the contract without further obligation to the contractor, or to waive such default in writing. DHIN’s waiver of a default in any instance shall not be construed to be a waiver in any other circumstances. DHIN shall thereupon have the right to terminate this contract by giving written notice to the contractor of such termination and specifying the effective date thereof, at least fifteen (15) days before the effective date of such termination. In that event, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, and reports or other material prepared by the contractor in the performance of the contract shall, at the option of DHIN, become its property, and the contractor shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials which is usable to DHIN.Opportunity to Cure In the event a party to this agreement commits a default of its obligations, the other party shall provide the defaulting party with a written notice of such default and 15 business days to cure such default.Non-PerformanceIn the event the Contractor does not fulfill its obligations under the terms and conditions of this contract, the DHIN may purchase equivalent product on the open market. Any difference in cost between the contract prices herein and the price of open market product shall be the responsibility of the Contractor. Under no circumstances shall monies be due the Contractor in the event open market products can be obtained below contract cost. Any monies charged to the Contractor may be deducted from an open invoice.Force MajeureNeither the Contractor nor the DHIN shall be held liable for non-performance under the terms and conditions of this contract due, but not limited to, government restriction, strike, flood, fire, or unforeseen catastrophe beyond either party's control. Each party shall notify the other in writing of any situation that may prevent performance under the terms and conditions of this contract.ExceptionsOfferors may elect to take minor exception to the terms and conditions of this RFP and must clearly state each exception in the offeror’s cover letter. DHIN will evaluate each exception according to the intent of the terms and conditions contained herein, but DHIN shall reject exceptions that create inequality in the treatment of Offerors. Exceptions shall be considered only if they are submitted with the proposal or before the date and time of the proposal opening.Schedule for Performance of WorkAll work described in these specifications shall be completed with reasonable promptness. As used in this Section, DHIN shall be the sole judge of the term “reasonable”. If the Contractor does not begin the work in a reasonable amount of time, they will be notified that if they fail to initiate the work promptly, the contract may be terminated and the DHIN will forthwith proceed to collect for nonperformance of work.Time of PerformanceThe services of the Contractor are to commence after receipt of a contract, and shall be undertaken and completed in such sequence as to assure their expeditious completion in the light of the purposes of the contract, but in any event all of the services required hereunder shall be completed within the three (3) year contract period. Any such schedule shall be maintained by the Contractor unless amended, in writing, by both parties.Termination of ContractTermination for Cause If, for any reasons, or through any cause, the Contractor fails to fulfill in timely and proper manner his/her obligations under this Contract, or if the Contractor violates any of the covenants, agreements, or stipulations of this Contract, the DHIN shall thereupon have the right to terminate this contract by giving written notice to the Contractor of such termination and specifying the effective date thereof, at least fifteen (15) days before the effective date of such termination. In that event, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, and reports or other material prepared by the Contractor in the performance of the contract shall, at the option of DHIN, become its property, and the Contractor shall be entitled to receive just and equitable compensation for any satisfactory work completed on such documents and other materials which is usable to DHIN.Termination for Convenience DHIN may terminate the contract at any time by giving written notice of such termination and specifying the effective date thereof, at least thirty (30) days before the effective date of such termination. In that event, all finished or unfinished documents, data, studies, surveys, drawings, models, photographs, reports, supplies, and other materials shall, at the option of the DHIN, become its property and the Contractor shall be entitled to receive compensation for any satisfactory work completed on such documents and other materials which are usable to DHIN. If the contract is terminated by DHIN for convenience, the Contractor will be paid an amount which bears the same ratio to the total compensation as the services actually performed bear to the total services of the Contractor called for by the contract, less payments or compensation previously made; provided, however, that if less than sixty (60) percent of the services covered by this contract have been performed upon the effective date of such termination, the Contractor shall be reimbursed (in addition to the above payment) for that portion of the actual outofpocket expenses (not otherwise reimbursed under this contract) incurred by the Contractor during the contract period which are directly attributable to the uncompleted portion of the services covered by this contract. Resolving DisputesResolving DisputesThe intent of the parties is to identify and resolve disputes promptly after any dispute arises. Except as provided otherwise in this Agreement, each party agrees that the parties shall use reasonable efforts to settle any disputes related to this Agreement through efficient communication and informed discussion. Either party may, by written notice to the other party, inform the other of a dispute under this Agreement by describing the nature of the dispute, the matters at issue and whether the notifying party believes the matter to need “Dispute Resolution” as hereinafter provided.Dispute Resolution If either party believes that a matter in dispute is mission critical (Problem Severity Level 1 or 2); or may affect mutually agreed upon deadlines; or upon a party’s written reasonable request that party may choose to proceed as follows:Initially, upon receipt of written notice, the other party shall respond in writing (electronic) within one (1) working calendar day. The parties shall cooperate by providing information and answering questions to facilitate an informed discussion of the issues in dispute. If the dispute is not resolved to the satisfaction of either party within ten (10) calendar days following the written response, either party may require that the executives of both parties discuss the dispute and attempt to resolve it as provided for in this Section. The Contractor further covenants, that in the performance of this contract, no person having any such interest shall be employed.Publication, Reproduction and Use of MaterialNo material produced in whole or part under this contract shall be subject to copyright in the United States or in any other country. The DHIN shall have unrestricted authority to publish, disclose, distribute and otherwise use, in whole or in part, any reports, data, or other materials prepared under this contract; provided, however, that the DHIN agrees not to use any design or engineering plans prepared by the Contractor for anything other than their intended purpose under this Contract. The Contractor shall have the right to publish any and all scientific findings. Appropriate acknowledgment and credit for the DHIN’s support shall be given in the publication. For items financed by the Federal government, appropriate credit must be attributed as specified in the contract.Rights and ObligationsThe rights and obligations of each party to this agreement shall not be effective, and no party shall be bound by the terms of this agreement, unless and until a valid executed contract has been approved by DHIN.Assignment of Antitrust ClaimsAs consideration for the award and execution of this contract by DHIN, the Contractor hereby grants, conveys, sells, assigns, and transfers to the DHIN all of its right, title and interest in and to all known or unknown causes of action it presently has or may now or hereafter acquire under the antitrust laws of the United States and the State of Delaware, relating to the particular goods or services purchased or acquired by DHIN pursuant to this contract.Covenant Against Contingent FeesThe Contractor warrants that no person or selling agency has been employed or retained to solicit or secure this contract upon an agreement or understanding for a commission, percentage, brokerage, or contingent fee, excepting bona fide employees. For breach or violation of this warranty, DHIN shall have the right to annul this contract without liability or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such commission, percentage, brokerage, or contingent fee.GratuitiesIf it is found, after notice and hearing, by DHIN that gratuities (in the form of entertainment, gifts, or otherwise) were offered or given by the Contractor or any member of DHIN with a view toward securing a contract, or securing favorable treatment with respect to the awarding, amending, or the making of any determinations with respect to the performance of this contract, the DHIN may, by written notice to the Contractor, terminate the right of the Contractor to proceed under this contract and/or may pursue such other rights and remedies provided by law or under this agreement; provided that the existence of the facts upon which DHIN makes such findings shall be in issue and may be reviewed in proceedings pursuant to the Remedies clause of this contract; andIn the event this contract is terminated for this reason, DHIN shall be entitled (i) to pursue the same remedies against the Contractor, and (ii) to exemplary damages, as a penalty in addition to any other damages to which it may be entitled by law, in an amount which shall be not less than three, nor more than ten, times the costs incurred by the Contractor in providing any such gratuities to any such member, officer or employee. The amount of such exemplary damages shall be in the sole discretion of DHIN.AffirmationThe Contractor must affirm that within the past five (5) years the firm or any officer, controlling stockholder, partner, principal, or other person substantially involved in the contracting activities of the business is not currently suspended or debarred and is not a successor, subsidiary, or affiliate of a suspended or debarred business. Audit Access to RecordsThe Contractor shall maintain books, records, documents, and other evidence pertaining to this Contract to the extent and in such detail as shall adequately reflect performance hereunder. The Contractor agrees to preserve and make available to the DHIN, upon request, such records for a period of five (5) years from the date services were rendered by the Contractor. Records involving matters in litigation shall be retained for one (1) year following the termination of such litigation. The Contractor agrees to make such records available for inspection, audit, or reproduction to any official DHIN representative in the performance of his/her duties under the Contract. Upon notice given to the Contractor, representatives of DHIN or other duly authorized State or Federal agency may inspect, monitor, and/or evaluate the cost and billing records or other material relative to this Contract. The cost of any Contract audit disallowances resulting from the examination of the Contractor's financial records will be borne by the Contractor. Reimbursement to the DHIN for disallowances shall be drawn from the Contractor's own resources and not charged to Contract cost or cost pools indirectly charging Contract costs.Intellectual Property Infringement Contractor shall defend and indemnify DHIN and hold DHIN harmless against all claims of infringement related to the Software. DHIN shall promptly notify Contractor of any infringement claim. Contractor shall maintain control of the defense and all settlement negotiations.Contractor’s Cures for Infringement This provision contains DHIN’s exclusive remedy and Contractor’s sole liability with regard to any claim of infringement related to the Software or other actions of Contractor. If use of the Software or actions of the Contractor by DHIN is the subject of a claim for infringement; then Contractor, at its option and expense, may either: procure for DHIN the right to continue using such Software,replace or modify such Software, without substantially diminishing functionality, so that it becomes non-infringing, orrefund an amount paid for Software to DHIN. Third Party Software and Hardware Infringement Contractor shall assign to the DHIN all permitted indemnities against infringement of the Third Party Software and Hardware upon the intellectual property rights of any third party.Ownership of Works and DataEach party owns its works, intellectual property and confidential information created prior to the Effective Date of this Agreement. Enhancements to Contractor’s pre-existing Software such as updates, releases, versions generally provided to Contractor’s customers shall be owned by the Contractor. Any customization, reports or programming changes to existing Software provided by Contractor which specifications were provided by DHIN and all tailoring shall be owned by DHIN and shall be deemed “work for hire” under the Copyright Act. DHIN shall have full and unrestricted access and control over all such changes. Should the parties decide to jointly develop software or any technology or intellectual property based on mutually agreed to specifications, (i) they shall each own such jointly developed works with full right to exploit them for internal use, (ii) they shall enter into an agreement upon mutually agreed to terms and conditions to govern the commercial use of such jointly developed works. As between DHIN and Contractor, all data, including patient data, shall be owned and controlled by DHIN, the DHIN Data Sender, the Provider, or the Patient/Consumer. Contractor shall not prohibit access to or impose any restriction (technical, contractual or otherwise) on the use of such data. To the extent that DHIN has configured or tailored the system using content specialized for DHIN, the special features used by DHIN or those containing DHIN’s confidential information shall be owned by DHIN, the Provider, or the Patient/Consumer.Trade Secrets or Intellectual PropertyThe offerors may designate as trade secrets or proprietary data portions of the proposals.WarrantiesContractor warranties shall include but are not limited to the following:OwnershipContractor warrants that it is the sole owner of or rightful licensee to all intellectual property rights in the Contractor Software and that Contractor has the full power, right and authority (including all necessary intellectual property rights) to license and deliver copies of the Software and to deliver the third party software and hardware specified in this Agreement to DHIN free from any liens and encumbrances, except as described in this Agreement. There are no claims or threats of claims against Contractor with respect to its right to license, sublicense, use, sell, re-sell or distribute any product in this agreement.Software Contractor warrants the following for so long as DHIN (i) subscribes to the Product / Software Support Services or (ii) subscribes to the Remote Processing Services (Warranty Period):The Software, when operated on the Configuration as set forth in this Agreement, shall be free of any material defects and will perform in accordance with the Documentation and the technical and functional specifications.The Software does not include any clock, timer, counter, or other limiting, disabling, or self-replicating code that was created by or known to Contractor which causes the Contractor Software or any other data to be disabled, distorted, erased, made inoperable or otherwise incapable of being used in accordance with this Agreement and in the full manner for which it is designed. The Software shall work compatibly with major commercially available virus, malware and spam protection programs that DHIN and/or PHR participants may use on its workstations and other access devices. Contractor will take appropriate steps, including but not limited to using current tools to test the Software prior to delivery and to prevent the introduction of any virus into the System.Contractor shall correct malfunctions and errors in the Software at no charge to DHIN.All Documentation is comprehensive, accurate, current and consistent with the Software.The Software shall function in accordance with the Documentation. Regarding regulatory compliance, Contractor shall modify the Software for existing products, as necessary, due to changes in applicable laws or regulations. Contractor understands that time is of the essence, and will achieve all applicable modifications in a timely manner to existing products. In the event that Contractor anticipates a delay of such modifications, Contractor will provide timely notification of any such potential delay to DHIN.For the duration of the Warranty Period, the Software, and custom programming shall operate together with the Equipment and Third Party Software in accordance with the applicable Documentation, the applicable Configuration and the applicable Specifications which have been developed by Contractor and agreed to by DHIN.All modules and components of the System are fully compatible with each other and with DHIN’s current health care information systems and are capable of being interfaced in and to a network environment. The System shall contain all of the backend connectivity and integration between the DHIN Community Health Record and the Hospitals’/Practices’ patient portals (as described in Section 2.2.3). All connectivity and integration will be provided in a timely manner and will function efficiently and effectively according to mutually agreed specifications developed by the parties and set forth in the Project Implementation Workplan (as described in Section 1.6.1.1). The Software is Date / Time Compliant. For purposes of this Agreement, “Date / Time Compliant” means that the systems will: (A) process data involving 4-digit year dates, including single-century formulae and multi-century formulae; (B) will not malfunction or generate incorrect values involving such dates; (C) when used in combination with other information technology will accurately process and properly exchange date data with it; and (D) will not cause any other item that is otherwise Date / Time Compliant to fail to be Date / Time Compliant.The Hardware, the Software, and the third party software as set forth in this Agreement are all that are required to operate the System and fully utilize all functions and specifications described in this Agreement and in the Documentation. If any additional software or hardware is required, Contractor shall immediately upon demand by DHIN supply such software and hardware to DHIN at no additional cost and provide services to DHIN at Contractor’s cost. The System contains commercially reasonable industry standard safeguards, including those requirements mandated by the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and the Health Information Technology for Economic and Clinical Health Act (“HITECH”), designed to prevent unauthorized users from gaining entry or access to the System. Contractor does and shall continue to utilize all commercially reasonable methods, including those requirements mandated by HIPAA and HITECH, to prevent security breaches and to protect DHIN’s information systems against the risk of penetration by a third party.General WarrantiesContractor warrants the merchantable quality of the Deliverables sold and licensed hereunder and that such Deliverables will conform to any specifications, drawings, samples, or other descriptions furnished or specified by Buyer, will be of good material and workmanship and free from defect. Contractor expressly warrants that the material covered by this Agreement, which is the product of Contractor or is in accordance with Contractor’s specifications, will be fit and sufficient for the purpose intended and complies fully with HIPAA and HITECH.Contractor warrants to DHIN that each of the foregoing representations is true and correct in all material respects as of the date of this Agreement and that none of them omits any material fact, the omission of which would make any such representations misleading. Contractor shall immediately notify DHIN in writing if any representation, warranty, duty or covenant set forth in this Agreement becomes untrue or inaccurate in any material respect The notice shall set forth the reasons for or description of the matter which is the subject of the notice.System Acceptance GuaranteesThe DHIN wants to obtain in final contract items such as: performance guarantees for system availability, response time, loading capacity, and system acceptance criteria. The selected vendor should be prepared to negotiate the inclusion of such items within the scope of services and pricing.Service Levels and Failure to PerformService LevelsThe parties shall agree to certain Service Levels to be incorporated into the Agreement as performance standards including metrics relating to but not limited to the following: system availability, system response time warranties, and problem support response and resolution / fix time. The Contractor recognizes that its failure to meet Service Levels may have a material adverse impact on the business and operations of the PHR application and that the damage from the Contractor’s failure to meet a Service Level is not susceptible of precise determination. Accordingly, in the event that the Contractor fails to meet a Service Level, in addition to any remedies available to DHIN under this Agreement, DHIN may (i)?elect to recover Service Levels Credits as agreed to by the Contractor, (ii)?in case the failure is a material breach which will constitute cause for termination, recover any actual damages suffered by DHIN (in addition to already received Service Level Credits), and (iii)?terminate this Agreement, provided the failure constitutes cause for such termination.Service Level FailureIn the event of a Service Level failure, within five (5) business days (or such longer period as may in a particular case be reasonably agreed by the Parties) of receipt of a notice from DHIN with respect to (1) failure to meet a Service Level for any of the Services or (2) the repeated failure to provide Services in accordance with the Service Levels, the Contractor shall (i) perform a root-cause analysis to identify the cause of such failure, (ii) correct such failure, (iii) provide DHIN with a report detailing the cause of, and procedure for correcting, such failure, and (iv) provide DHIN with reasonable evidence that such failure will not reoccur.Service Level CreditsIn the event, during any calendar month, that the Contractor fails to meet any Service Level, then the following month’s installment of the contract price shall be reduced to compensate DHIN for the diminution in performance in accordance with the Service Level Credits (disincentives) process for each such Service Level failure. For the avoidance of doubt, the termination rights shall apply in addition to the foregoing remedy.In addition to the remedies provided herein, the Contractor shall work immediately and continuously to correct the Service Level failureRemote Processing If Contractor provides Remote Processing Service, Contractor will provide the remote processing services in a timely, professional, competent, businesslike and commercially reasonable manner. The warranties above apply with equal force to the Remote Processing.Disaster Avoidance and Recovery For the term of this Agreement, the Contractor will maintain disaster avoidance provisions designed to safeguard any data in the Contractor’s possession. The Contractor will also maintain recovery plans to be used during unexpected events which may, for limited periods of time, affect the ability of the Contractor to perform its obligations under this Agreement. The Contractor tests and updates these plans on a routine basis. The Contractor shall provide DHIN with the SAS-70 version of its Business Recovery Plan on the Effective Date of this Agreement and as requested during the Term. The Contractor shall continuously improve its business recovery processes to facilitate the continuity of its services to DHIN including actively reviewing new technology in the industry, hardware and uninterruptible power supply Contractors on a regular basis. Contractor shall provide data redundancy, business continuity and disaster recovery services by utilizing off site data storage. Such disaster recovery services are designed to achieve and attain resumption of on-line services for clinical systems in the Production environment with no down time. The contractor will describe the Disaster Avoidance and Recovery services in the proposal response.Services In recognition of the importance of timely completion of services as commercially reasonable, Contractor warrants that the services provided by Contractor to DHIN under this Agreement shall be performed in a timely, professional, competent, businesslike and commercially reasonable manner by qualified personnel with previous installation or support experience with the Software and its operation and in a manner consistent with generally accepted industry standards applicable to persons specializing in the area of software implementation services or software support services for hospital, EMR systems, and health information exchanges.Contractor warrants that it shall have and maintain sufficient resources, facilities, capacity and manpower to assure that its services shall be diligently performed in accordance with the terms and conditions of this Agreement.Contractor warrants that the training provided to DHIN, its employees and agents identified in the Project Implementation Workplan shall be sufficient to permit a reasonably skilled person with relevant skill sets, generally familiar with the Documentation, to properly and effectively use the Software.The Contractor warrants that neither the organization nor any employees working as part of this contract have been debarred, suspended, or excluded from providing services under government programs.Hardware and Third Party SoftwareContractor warrants that as to any hardware or third party software purchased by DHIN from Contractor: (i) such items shall be ordered new from Contractor’s supplier(s) and will include the manufacturer’s standard end-user warranty; and (ii) Contractor shall pass through to DHIN all applicable hardware and applicable third party software manufacturers’ assignable end-user warranties and indemnifications. Contractor packaged application and system software shall be the most current version generally available as the date of the physical installation of the software. Offeror agrees to maintain the software at the most current version throughout the term of the contract.Contractor agrees to actively work with DHIN to resolve any issues or problems DHIN may encounter with owner, manufacturer, licensor, sub licensor, and/or reseller of any third party software and hardware.PenaltiesThe DHIN may wish to include in the final contract penalty provisions for non-performance, such as liquidated damages.ConfidentialityConfidential Information All information or data relating to the business or operations of the DHIN acquired by the Contractor pursuant to, or in connection with, an agreement stemming from an award of a contract or the Contractor’s performance there under, shall be treated by the Contractor as proprietary to DHIN. The Contractor will hold such information in strict confidence and shall not disclose to any other person or entity whatsoever by the Contractor without DHIN’s prior written permission. Without limiting the generality of the foregoing, the Contractor shall, at a minimum, take such measures to preserve the confidentiality of DHIN’s proprietary information and data as it usually and customarily takes to preserve the confidentiality of its own proprietary and/or confidential information and data.For purposes of this section and without limiting the generality of the foregoing, it is expressly agreed and acknowledged by the Contractor that the following described information or data are proprietary to DHIN and are legally protected under Delaware State (and, in some cases, federal) law. Such information shall be held by the Contractor in strict confidence, and, accordingly, shall not be disclosed by the Contractor to any other person or entity without the DHIN’s prior written consent and authorization:Information relating to the identity of any resident, patient, business operation (i.e., users, participant, or members) of the DHIN;Information relating to any services provided by the users, participants, and/or members of the DHIN to any such resident or patient;Information relating to the diagnosis and/or treatment of any such resident or patient; and/or,Information relating to any amounts charged to, or funds received from any users, participants, and/or members of the DHIN including any healthcare provider or any third-party payer with respect to any services provided to any of its residents or patients.The Contractor agrees to indemnify, defend, and hold harmless DHIN for and with respect to any losses, liabilities, costs, and/or expenses incurred by DHIN as a result of any breach by the Contractor or any of its employees, Contractors, or agents of any of the provisions of this section. Confidentiality of Protected Health Information The parties agree that the services to be performed involve the disclosure of protected health information for purposes related to treatment, payment and hospital operations as defined by the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as the same may be amended from time to time, and all other laws and regulations relating to the privacy of patient information, and that such information shall not be disclosed.RegulationsAll equipment, software and services must meet all applicable local, State and Federal regulations in effect on the date of the contract.ChangesNo alternation in any of the terms, conditions, delivery, price, quality, or specifications of items ordered will be effective without the written consent of the DHIN.Contract Management and Communications Contractor Responsibilities As part of the response to this RFP, the bidder is expected to provide: Project Implementation Workplan The proposal must include a credible presumptive work plan showing how the bidder intends to accomplish the work and produce the final deliverables not later than December 30, 2016. However, before final contract signing, the work plan may be adjusted by mutual agreement based on further discussion and negotiation. The work plan will be included by reference in the contract and can only be modified thereafter by signed mutual agreement. The work plan will include:The tasks to be performed, consistent with the scope of services and schedule Interface/Integration requirementsThe time allocated to each activity and the responsible person(s) associated with each task Whether the task will be performed on-site at the DHIN offices or off-site at another location DHIN resources expected to be involved in the task and their role Stakeholder resources expected to be involved in the task and their role Contractor resources expected to be involved in the task and their role Staffing Plan The proposal must include an organizational chart and staffing plan relevant to the services described in the proposal. The contractor is required to provide throughout the life of the contract: An experienced project manager with a record of successful outcomes with similar projects A proficient and professionally capable staff to support the tasks Avoidance of problems and resolution of unavoidable problems with little or no disruption to the activities performed under the contract. Provision of a plan of action / correction will be provided to DHIN in a timely manner and within 48 hours of identification of a problem. Methodologies and approaches to ensure collegial and professional working relationships with DHIN leadership and stakeholders Continuous monitoring and feedback of the quality and timeliness of the products and services provided under this contractThe contractor’s staffing plan must be organized in a manner that addresses each of these areas and must also identify all resources used for the performance of work under the contract with their roles clearly defined, and their relationship to the remainder of the contractor organization established and identified in the organizational chart. This plan should include, at a minimum, the: Number of staff proposed to support the project Hours bid for each person proposed to work on the project Level (management, technical, clerical) for each person proposed to work on the project Hours and schedule for when staff will be present on-site at the DHIN office or at a stakeholder designated location. Staff hours for off-site activity should be clearly identified as “off-site”. All staff identified in the proposal for this engagement must be assigned until the tasks for which they were proposed have been completed and approved unless: An individual terminates his/her employment with the contractor, or An individual becomes physically or mentally unable to carry out the duties assigned by the contractor, or The DHIN CEO requests that an individual be removed from the project. In addition, the DHIN is seeking a solution that provides end-user training of the system functionality.Search CapabilitiesThe DHIN is seeking a solution to permit the end-user to search for clinical information based on his/her patient demographic information or for someone he/she has provided a proxy from the Provider’s portal or directly from the DHIN community health record. The user should be able to view and download the clinical information (e.g., Common Clinical Data Set, Care Summary, Consolidated CDA) using a style sheet.Data EntryThe DHIN is seeking a solution that provides flexibility for the end-user to enter or update specific patient health or family history data. Data entry methods should include capability for keyboard, touchpad, Interactive Voice Response, Intelligent Character Recognition, scan, bar-code, etc. The solution should also provide the user with drop-down selection, spell-check and thesaurus capability. The solution will also need to ensure that the user cannot modify data originating from another source.Data Integrity and ValidationThe DHIN is seeking a solution to ensure that Hospital/Provider/DHIN HIE data has not been altered, corrupted, or destroyed, either accidentally or intentionally in an unauthorized manner. The solution will be able to track and time-stamp user logins, navigations, and break-glass, and provide alerts for changes to user profiles, settings, records, and data.Data SecurityThe DHIN is seeking a solution that supports encryption of data at rest and in motion. Multifunction peripherals must be hardened when used or connected to the network. The Contractor will develop a Project Implementation Workplan as part of the RFP response that meets the timeline included in this RFP. This Project Implementation Workplan will be finalized as part of the project initiation in consultation and in mutual agreement with the DHIN and DHIN-stakeholder affected parties. Vendor’s Project OrganizationThe Contractor will provide its project organizational structure and anticipated project and implementation staffing team as part of the RFP response.Interface/Integration DevelopmentThe DHIN is seeking a solution that can interface/integrate, at a minimum, with a Hospital’s/Provider’s Patient Portal, the DHIN Community Health Record, the DHIN Community Master Patient Index, the DHIN HISP or other HISP provider, Direct Inbox, and the DHIN Directory Services Listing. The Contractor in the proposal response will identify the maximum number of hospital and Electronic Health Record (EHR) provider patient portals that they can accommodate. For EHR provider patient portals, the Contractor will identify with which EHR vendor portals they integrate. The Contractor will be responsible for the interface/integration design, documentation, testing, and implementation of interfaces. The Contractor will provide an interface contact resource to work with the data contributor or receiver. The Contractor will participate in testing the interfaces once developed by the data contributors, receivers or their Contractor(s). The Contractor will develop an interface plan, interface specifications, and interface documentation. Data interfaces are required for integration into existing PHR applications. It is anticipated that these interfaces will be used in real time or no less than once per day to provide current data. The Contractor will describe its proposed solution for interfaces to support (a) data from the HIE to the PHR applications, and (b) any single sign-on, embedded technology, APIs, etc. that can be leveraged.System Installation and Testing The Contractor will maintain the system (all environments) during the implementation period with software defect corrections, software enhancements, or releases. The Contractor will develop a testing plan. Deliverables will be considered complete when testing is complete and reviewed and accepted by DHIN.System OperationThe Contractor will maintain and operate the system (all environments) during the period of contract.Format, Content, and Submission of Proposals General Requirements The purpose of the proposal is to demonstrate the qualifications, competence, and capacity of the bidding organization or individual to undertake the services for the DHIN described in this Request for Proposals and to produce deliverables of high quality in the time frame required. As such, the substance of proposals will carry more weight than their form or manner of presentation. Professionalism of presentation may be considered in evaluating the proposal. The proposal should demonstrate the qualifications of the bidder and all staff to be assigned to this engagement. It should also specify the approach that will meet the Request for Proposals requirements. The proposal should address all the points outlined in the Request for Proposals. The proposal should be prepared simply, providing a straightforward, concise description of the proposer’s capabilities to satisfy the requirements of the request for proposals. Required Content of Proposals The following content must be included in the proposal: Cover Letter attesting that the person signing is entitled to represent the bidding organization, empowered to submit the bid and authorized to enter into negotiations and a contract including the provisions contained herein. The cover letter should include any exceptions to the terms and conditions specified in this RFP, citing the section of the RFP for which the exception applies. Each member will score all proposals independently before meeting as a group for discussion of the proposals. For the purpose of the cost proposal, note that specific DHIN members, including hospital/practice members, have integrated EMR/EHR systems which may enable them to provide their own interface solutions.Data: The Offeror must identify and provide pricing for any required data acquisition or content services, any recurring costs to maintain required data, and any costs for retrieving and providing bulk data to DHIN upon DHIN’s request.Management and Audit Reports: The Offeror must identify and provide pricing for hosting, support services and staffing related to all data center operations, including Disaster Recover/Business Continuity, internet services, telecommunication provisioning, and security.
